To use our Services, you must be at least 18 years old and capable of forming a binding contract. By using our Services, you represent and warrant that you meet these eligibility requirements and that your use of the Services does not violate any applicable law or regulation.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms, which we will indicate by updating the "Last updated" date. Your continued use of the Services following the posting of changes constitutes your acceptance of those changes.

To access certain features you may need to register an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We may require two-factor authentication (2FA) for security reasons, and you agree to enable and maintain it where required.

You agree to use our Services only for lawful purposes and in compliance with all applicable laws, as well as Meta's WhatsApp Business Platform policies and Commerce and Business policies. You are prohibited from using our Services to:

• Engage in any illegal activity
• Send spam or unsolicited messages in violation of WhatsApp policy
• Distribute harmful or malicious software
• Infringe upon the intellectual property rights of others
• Interfere with or disrupt the operation of our Services

You are solely responsible for obtaining valid opt-in consent from your contacts before messaging them through the Services, in accordance with WhatsApp's policies and applicable law.

Certain Services require payment of fees. You agree to provide current, complete, and accurate billing information and to promptly update it as needed. We bill you through your online billing account. Applicable taxes will be added as required. All payments are in INR or USD as indicated at checkout.

If your purchase is subject to recurring charges, you consent to our charging your payment method on a recurring basis until you cancel. We reserve the right to correct pricing errors and to refuse any order. Platform fees are separate from Meta's per-conversation charges, which are billed based on your usage.

We offer a 14-day free trial to new users. During the trial your account will not be charged. At the end of the trial, your subscription will be suspended until you upgrade to a paid plan, unless stated otherwise at sign-up.

You can cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of your current paid term. Please review our Refund Policy for details on eligibility.

You may submit content (such as text, images, and media) to the Services ("User Content"). You retain ownership of your User Content, and you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute it solely as needed to operate and provide the Services. You are responsible for ensuring your User Content complies with these Terms and applicable law.

All intellectual property rights in our Services — including software, text, graphics, logos, and trademarks — are owned by ScaleBiss or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business use only. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Services without our prior written consent.

Our Services rely on and may link to third-party services that we do not own or control, including the WhatsApp Business Platform provided by Meta and payment processors. We are not responsible for the content, policies, or practices of any third-party service, and your use of them is governed by their respective terms.

To the fullest extent permitted by law, ScaleBiss and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from or related to your use of the Services, even if advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless ScaleBiss and its affiliates from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights or applicable law.

We may suspend or terminate your access to the Services at any time, with or without cause, and without notice or liability. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination — including ownership, warranty disclaimers, and limitations of liability — will survive.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India, and you consent to such jurisdiction and venue.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScaleBissregarding your use of the Services.
